The Mensa Board will be holding a Zoom call at 6pm on Tuesday 14 November to consult members on proposed changes to the Board Regulations.
Following the passing of a number of motions to amend the Memorandum and Articles of Association at our recent Annual General Meeting, the Board would like to make a couple of small amendments to the Board Regulations to keep them in line. New article 188.8.131.52 stipulates that the closing date for submission of motions for a General Meeting may not be less than 30 days after the notice of the meeting is sent to members. However, Board Regulation 15 puts this date at not less than 28 days after the notice. We would like to change this to 30 days, to be in line with the articles.
The second change follows the amendment to article 184.108.40.206, to allow test administrators who are also directors to be paid at the same rate as other test administrators. It previously stated that directors could not receive any remuneration at all, which contradicted Board Regulation 28 which allowed for this exception. Now that it is covered by article 220.127.116.11, the Board Regulation can be deleted.
